License Agreement for GuideStar Data Set

This agreement sets forth the terms and conditions under which GuideStar USA, Inc. ("GuideStar") grants Licensee the right to use a GuideStar Data Set ("Data Set"). If you license a Data Set from GuideStar, you agree to the terms and conditions set forth below.

Please note that GuideStar Data Sets are non-refundable

A "Data Set" is a compilation of specific data derived from the IRS list of Section 501(c)(3) organizations and from the tax forms that Section 501(c)(3) entities with annual revenues of $25,000 or more file on an annual basis with the IRS.
A "Licensee" is a person or entity, including the agent of such person or entity, who purchases the right to use the Data Set, subject to the conditions below.
GuideStar grants Licensee a limited right to use and possess a Data Set consisting of the data that Licensee selected from the parameters offered on the GuideStar Web site and added to the Shopping Cart.
Licensee agrees to pay the amount specified in the Shopping Cart.
Licensee agrees to use the Data Set on a one time basis only. Licensee agrees to purchase an additional license if Licensee desires to use the Data Set more than once.
GuideStar will offer the Data Set to Licensee in Excel file format, which Licensee will be able to download from the GuideStar home page, www.guidestar.org, for five days after the purchase is made.
Licensee will use the Data Set for marketing or research purposes, subject to the following conditions.
1. The rights granted herein constitute a license and not a transfer of title.
2. Licensee shall not copy, extract, summarize, distribute or otherwise use the Data Set in any manner that competes with or substitutes with GuideStar's distribution of Data Sets to its customers.
3. Licensee may not use the Reports to make any data compilations to be sold, lent or distributed to a third party.
4. Licensee shall only use the Data Set on a one-time basis.
5. All rights not explicitly granted to Licensee remain with GuideStar.
Licensee will use this Data Set in compliance with any and all applicable Federal and State laws, rules, and regulations.
If Licensee receives a file that is damaged or blank, GuideStar will send a replacement Data Set to Licensee
Except for the situation described in Paragraph 9, all sales are final. No refunds, exchanges, or credits will be extended.
GuideStar cannot guarantee the accuracy of the data. Except for the situation described in Paragraph 8, GuideStar's Data Sets are provided to Licensee "as is" without guarantee, and GuideStar makes no warranties of any kind, including, but not limited to, express or implied warranties of merchantability or fitness for a particular purpose.
GuideStar shall not be liable for any consequential, incidental, special damages, lost revenue, or damages of a similar nature even if GuideStar has been advised of the possibility of such damages.
